Terms of Service

1. Our Services & Global Scope

SupplierLinkUp provides a platform for Buyers to send inquiries and Factories/Suppliers to submit business profiles. We act as a facilitator, procurement consultant, and information directory. While the Services are managed from our US Headquarters and executed via our China Operations Hub, they are accessible globally. Users are responsible for compliance with their local laws regarding international trade and customs.

2. Intellectual Property Rights

The platform, including its source code, databases, functionality, software, website designs, text, and graphics on the Services (collectively, the "Content") and the trademarks and logos contained therein (the "Marks") are owned or controlled by us. You are granted a limited license for internal business purposes. You may not copy, aggregate, or distribute any part of the Services for commercial exploitation without our express prior written permission.

3. User Representations

By using the Services, you represent and warrant that: (1) all registration and profile information you submit is true, accurate, and complete; (2) you will maintain the accuracy of such information; (3) you have the legal capacity to comply with these terms; (4) you are at least 18 years of age; and (5) your use of the Services will not violate any applicable law or regulation.

4. User Registration & Security

You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account. We reserve the right to remove or change a username if we determine, in our sole discretion, that such username is inappropriate or objectionable.

5. Purchases, Payments, and Currency

We accept international payments including ACH, Wire Transfers (via our US bank, Thread Bank), Visa, Mastercard, and PayPal. By default, all transactions and consulting quotes are processed in US Dollars (USD). Through our China operations, we also maintain local capabilities to accept Chinese Yuan (RMB/¥). If you require payment in EUR, GBP, or RMB, please contact us for specific correspondent banking details. You agree to provide current, complete, and accurate billing information.

6. Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make the Services available. As a user, you agree not to:

• Systematically retrieve data or other content from the Services to create or compile a database or directory without written permission from us.
• Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information.
• Circumvent, disable, or otherwise interfere with security-related features of the Services.
• Disparage, tarnish, or otherwise harm, in our opinion, us and/or the Services.
• Use any information obtained from the Services in order to harass, abuse, or harm another person or company.
• Upload or transmit viruses, Trojan horses, or other material that interferes with any party’s uninterrupted use of the Services.
• Engage in unauthorized framing of or linking to the Services.
• Use the Services as part of any effort to compete with us or for any revenue-generating endeavor not explicitly authorized.

7. User Generated Contributions

The Services invite you to submit inquiry forms, factory profiles, and business information ("Contributions"). You understand that business profiles may be viewable by other users. When you create or make available any Contributions, you represent that:

• The creation and distribution of your Contributions do not infringe the proprietary rights of any third party.
• Your Contributions are not false, inaccurate, or misleading.
• Your Contributions are not unsolicited or unauthorized advertising, pyramid schemes, or "spam."

By posting Contributions, you grant us an unrestricted, irrevocable, perpetual, worldwide right and license to host, use, copy, and distribute such content for any commercial purpose (including promoting the platform).

8. Third-party Websites and Content

The Services may contain links to other websites belonging to third parties. Such third-party websites are not investigated or monitored by us. We are not responsible for any purchases or interactions you make through third-party websites.

9. Services Management

We reserve the right, but not the obligation, to: (1) monitor the Services for violations of these Legal Terms; (2) take appropriate legal action against anyone who violates the law or these terms; and (3) otherwise manage the Services in a manner designed to protect our rights and property.

10. Privacy Policy

We care about data privacy. Please review our Privacy Policy: https://www.supplierlinkup.com/legal/privacy.php. By using the Services, you consent to your data being transferred and processed globally.

11. Term and Termination

These Legal Terms shall remain in full force and effect while you use the Services. We reserve the right to deny access to and use of the Services (including blocking IP addresses) to any person for any reason or no reason, without notice or liability.

12. Governing Law and Dispute Resolution

These Legal Terms and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the State of New Mexico, USA, without regard to its conflict of law principles. Any legal action or proceeding related to the Services shall be brought exclusively in the state or federal courts located in New Mexico, USA.

Exception for China Supply Chain Execution: Notwithstanding the above, for disputes specifically arising from physical supply chain operations, factory audits, or manufacturing disputes executed within the People's Republic of China, SupplierLinkUp LLC reserves the right to seek legal remedies, injunctions, or arbitration (including CIETAC) within the jurisdiction of Changsha, China, to protect its operational interests and client assets.

13. Disclaimer & Limitations of Liability

The services are provided on an "as-is" and "as-available" basis. You agree that your use of the services will be at your sole risk. In no event will we be liable to you for any direct, indirect, or consequential damages. Our liability to you for any cause whatsoever will at all times be limited to the amount paid, if any, by you to us during the twelve (12) month period prior to the cause of action.
